General Terms and Conditions (GTC) of INNOVAHealth AG Effective: September 2025

These General Terms and Conditions (GTC) apply to all services, deliveries, and offers of INNOVAHealth AG unless expressly agreed otherwise. By using our website and services, you agree to these terms.

1. General Provisions

· All sales, deliveries, and services are subject to these GTC.

· Deviating terms and conditions of the customer shall only apply with our written consent.

2. Offers and Conclusion of Contract

· Unless otherwise stated, offers are valid for 90 days (otherwise 30 days).

· They are confidential and may not be disclosed to third parties, particularly competitors.

· A contract is concluded only upon our written order confirmation.

· Deviations between order and confirmation are deemed accepted unless objected to in writing within 7 days.

3. Prices and Payment Terms

· All prices are in CHF, excluding VAT and shipping costs.

· Price lists and brochures are non-binding.

· We may request advance payments or securities.

· Payments are due net within 30 days.

4. Delivery and Retention of Title

· Delivery periods are non-binding unless expressly guaranteed.

· Goods remain our property until full payment has been received.

· Regulatory requirements (e.g., Swissmedic) are the responsibility of the customer and also apply when goods are passed on to third parties.

5. Konsignationslager

· Consumables may be stored as consignment stock at the customer’s premises by individual agreement.

· Goods remain the property of INNOVAHealth AG until written confirmation of withdrawal and full payment.

· The customer undertakes to comply with storage conditions as per manufacturer specifications and to provide requested inventory reports.

· The customer is fully liable for loss, damage, or improper storage.

· The customer must immediately block expired or unusable goods and return them to INNOVAHealth AG upon first request or at the latest within 10 working days. Use after the expiry date is strictly prohibited.

· The customer bears sole liability for any damages caused by the use of expired, damaged, or improperly stored goods. Liability of INNOVAHealth AG is excluded in all cases.

· We reserve the right to conduct unannounced stock inspections.

6. Returns and Complaints

· Returns only with prior approval.

· Consumables and opened packages are excluded from return.

· Complaints must be submitted in writing within 5 days.

7. Warranty and Liability

· Warranty according to Swiss Code of Obligations (OR).

· In the event of defects: repair, replacement, or credit note at our discretion.

· Further claims (e.g., damages, loss of profit) are excluded to the extent permitted by law.

· No warranty for improper use, storage, or interventions without consent.

8. Services

· Service and maintenance work is charged by time spent or on a flat-rate basis.

· Dates and scope are agreed individually.

· No liability for indirect damages or loss of profit.

9. Recall Management

· In the event of recalls (safety-, regulatory-, or quality-related), the customer is obliged to cooperate immediately.

· We provide information on affected products, modalities, and replacement solutions.

· Affected products must be withdrawn from circulation and returned without delay.

· Costs are regulated in accordance with the recall protocol.

10. Quality Management and Certifications

· We are committed to the highest quality standards.

· The customer acknowledges regulatory requirements (e.g., Swissmedic, MDR, KVG) and complies with them.

· Technical documents will be provided upon request.

11. Code of Conduct and Compliance

· We act according to ethical principles, integrity, and transparency.

· The customer also undertakes to comply with legal and ethical standards.

· Violations may lead to contract termination and legal action.

12. Disclaimer for Website Content

· The content on our website serves general information purposes.

· We make no warranties regarding accuracy, completeness, or timeliness.

· Technical data and product descriptions are non-binding and do not replace advice.

13. Data Protection

· Personal data is processed in accordance with our privacy policy.

· Customer data is treated confidentially and used only for contract fulfillment.

14. Place of Jurisdiction and Applicable Law

· Swiss law applies exclusively.

· Place of jurisdiction is Greng FR (Switzerland).

INNOVAHealth AG reserves the right to amend these GTC at any time. The version valid at the time of contract conclusion shall apply.
